The manner and means of performing the services are to be determined by the City of <br />Orono, except as specifically provided to the contrary in this agreement. The City of <br />Orono shall submit to the City of Spring Park a monthly report of services rendered <br />and charges due in such detail as the City of Spring Park may reasonably require, as <br />well as periodic suggestions related to the services. <br /> <br />5. Personnel, Employees of the City of Orono – The City of Orono shall assume all <br />obligations with regard to the salary, workers compensation, PERA, withholding tax, <br />health insurance, and other benefits of its employees providing Services to the City of <br />Spring Park under this Agreement. The City of Spring Park shall not be considered or <br />deemed to be the employer of any Orono employees providing Services under this <br />Agreement and shall have none of the responsibilities or obligations which arise out of <br />the employer-employee relationship with respect to personnel assigned by the City of <br />Orono to provide Services hereunder. <br /> <br />6. Cooperation and Assistance – The City of Spring Park shall provide full cooperation <br />and assistance to the City of Orono, its agents and employees in rendering of these <br />Services. <br /> <br />7. Effective Date of Service – The effective date for this Agreement shall be the 28th day <br />of June 2016 and this Agreement shall continue indefinitely until terminated as <br />provided in paragraph 8. <br /> <br />8. Termination of Agreement – This Agreement shall continue in full force and effect <br />until terminated by either party. Notice of termination may be submitted in writing by <br />either party to the other party. If notice of termination is properly given, this Agreement <br />shall terminate as of the date set forth in the notice, which shall not in any event be less <br />than 60 days from the date of said notice. Any amounts due to the City of Orono shall <br />become immediately due and payable on the date this Agreement terminates. <br /> <br />9. Cost to the City of Spring Park – For and in consideration of the provision of the <br />Services, the City of Spring Park shall make payments to the City of Orono as follows: <br /> <br />a. Straight time rates will apply for all Services rendered between the hours of <br />7:00 a.m. – 3:30 p.m. Monday through Friday, excluding holidays. <br /> <br />Straight time rate: See Exhibit A <br /> <br />b. Overtime rates will apply for all Services rendered during hours other than as <br />noted in paragraph 9(a) and 9(c).
