Overtime rate: See Exhibit A <br />c. Holiday rates will apply for all services rendered on holidays as set forth in the <br />then current City of Orono personnel policy manual. <br />Holiday rate: See Exhibit A <br />d. In addition to the payments required above, the City of Spring Park shall pay a <br />charge for fixed costs. The fixed cost for standby personnel is set forth in <br />Exhibit A. <br /> <br />e. The City of Orono may also charge its standard rates for equipment time for <br />equipment used in providing the Services. <br />All rates are subject to annual Cost-of-Living change as approved by the Orono <br />City Council in December for the following year, without further written agreement <br />of the parties. <br />The City of Orono shall bill the City of Spring Park within 15 days after the last <br />day of each month for which services were rendered, and the City of Spring Park <br />shall remit payment thereon by the first day of the month following receipt of the <br />bill. <br />10. Insurance – The City of Orono shall maintain workers compensation insurance as <br />required by law and personal and public liability insurance in the amount of not less <br />than $1,000,000 per occurrence and such insurance shall name the City of Spring Park <br />as an additional insured. The City of Orono shall furnish the City of Spring Park with <br />a certificate of insurance as to the policies in force. In addition, the City of Orono shall <br />require any independent contractors providing services in the City of Spring Park to <br />procure and maintain insurance with limits of liability not less than those provided <br />herein and name the City of Spring Park as an additional insured. <br /> <br />11. Distribution of Property – Any property belonging to or acquired by any party shall <br />remain the property of that party, until and unless ownership of the property is <br />transferred by sale, donation, or other means memorialized in writing. <br /> <br />12. Indemnification – Each party shall defend and hold harmless the other party from any <br />claims arising from any act or omission on the part of its own officers, employees, <br />agents, contractors or representatives pursuant to this Agreement, including any <br />attorney's fees and expenses incurred in defending any such claim. Nothing herein shall <br />change or waive liability limits established under Minn. Stat. Ch. 466. The limits of <br />liability for both parties may not be added together to increase the maximum statutory <br />liability limits for any party.
