13. Effective Date of Service. The effective date of service shall be on the day of , 19 No inspe• ions or other services will be performed by Orono for Wayzata until such time as Wayzata adopts all Building Codes and ordinances required herein and until all parties have signed and executed his agree- ment. In no ev-nt will inspection services commence before the day of _ , 19_ 14. Hold Harmless and Indemnification Agreement. Wayzata shall indemnify and hold harmless the City. the City Council., and the agents and employees of the City of Orono from and against all claims, damages, losses or expenses, _ncluding attorney fees, which the City, City Council and gents and employees of the City may suffer or for which it may be held liablc. arising out of or resulting from the assertion against them of claims, debts or obligations in onsequence of t e per: ce of the Orono Building Department in the enforcer2nt an( Aministration of the Building Code per the directive of Wayzata. 15. Termination of Agreement. This agreement shall remain in force and effect from the effective date of service until cancelled by either party. Any such termination shall also conform to other applicable provisions in this agreement, and shall be subject to Wayzata, paying any and a 1 1 charges due for services rendered prior to the termination, including the full amount of the retainE r fee f( the final month of service. A) Cancellation by Wayzata shall reds ire 30 days -itten notice to the City of Orono. B) Cancellation by Orono shall require 60 days written noti�le to Wayzata. Wayzata agrees to pay to Orono any expenses, including reasonable attarney's fees, incurred by Orono in enforcing the terms of this agreement.
