CARMAN BAY LAKE IMPROVEMENT DISTRICT <br />ANNUAL MEETING <br />DRAFT <br />Meeting Minutes <br />Date: Thursday, September 25, 2025 <br />Place: Good Shepherd Church, 3745 Shoreline Drive, Wayzata, MN 55391 <br />Present: Board members Mark Kieper, Steve Nielsen, Ted Chalupsky, Kevin Kennefick, Mary <br />Tucker, Mark Hector and Dave Owen <br />Absent: None <br />Others attending: 7 Carman Bay lakeshore owners (5 Property Owner votes under the 1 vote per <br />property rule), Jacqueline Ricks (Orono City Council Member who at this meeting was <br />appointed by the LID as the City Liaison with the CBLID), and one person who did not <br />identify herself and recorded the meeting. <br />Next Meeting: TBD <br />I. Call to Order. <br />Meeting was called to order at 6:03 p.m. by Chairman Mark Kieper <br />II. Establish Quorum. <br />A quorum was established. 7 of 7 Board Members in attendance. A simple majority constitutes a <br />quorum. <br />III, Proof of Notice. <br />Proof of Notice of Meeting was established by Secretary Owen. A 14-day notice was required by <br />9/12/2025 for a notice that was posted on the CBLID webpage 9/10/25, published in the Laker Pioneer <br />newspaper on 8/30/25 and 9/6/25, and posted on City of Orono public bulletin board on 9/10/25. A 10 <br />day -notice was required by 9/16/2025 for a mailer that was postmarked 9/3/25 to the Orono City <br />Council, MN PCA, MN DNR, Hennepin County Board of Commissioners, and District Property <br />Owners. <br />IV. Announcements: Chairman Kieper made the following announcements: <br />a) Welcome to the CBLID Board of Directors Annual Meeting. A copy of meeting materials is available <br />for the public. <br />b) Procedure on Actionable Items. Following a brief narrative of the agenda item any Director can make <br />or second a motion. If there is a second, the motion will be open for discussion by all Property Owners. <br />After discussion, the motion will be restated or amended as necessary followed by the appropriate voice <br />or paper ballot vote. Three items will utilize a paper ballot: Annual Budget Approval, Project Approval, <br />and Election of Directors. A maximum of one (1) Property Owner present from each property within <br />the District is eligible to vote. Election of Directors shall include eligible absentee ballots. <br />c) Public Comment Policy. Carman Bay Lake Improvement District Annual Board meetings are a forum <br />to conduct the District's business. Meetings are open to the public pursuant to Minnesota Open Meeting <br />Law.
