SANITARY SEWER AGREEMENT k THIS AGRBEHENT is mads affective as of the day of Septanbsr, 1991 by and between WOODHILL country CLUB, a Minnesota non-profit corporation (hereinafter sometiines referred to as **Woo^ill") , and the CITY of orono, a Minnesota municipal corporation (hereinafter sonetines referred to aa "orono*'), both of Hennepin County, Minnesota. NHBREA8, Hoodhill owns and operates a country club, the landa and fecllitiee of which are located partially in the City of Orono and partially in the city of Wayzata. The lands o%med by Hoodhill are described on the "Woodhill Legal Description" attached* The clubhouse building is located within the City of Meysata as eho%m on the plan which is part of the Woodhill T^qal Description. At the present time Woodhill does not have sanitary sewer service to the clubhouse, but desires to have such service; and WHERBA8, Orono owns and operates a municipal sanitary sewer sarviee system. The nearest location practicable for the hook-up of Woodhill to the Orono system is in Russell Avenue to the southwest of the Woodhill lands; and WHEREAS, Woodhill and Orono wish to contract for the oonetruction of e sanitary sewer line from the woodhill clubhouse to the Orono sanitary sewer line in Russell Avenue, and the providing of sewer service by Orono to woodhill, all ae is hereinefter set forth; and WHEREAS, Woodhill and Orono wish to contract for such oonetruction es provided below. MOM, THEREFORE, In consideration of tl mutual undertakings herein, One Dollar ($1.00) and other good a valuable consideretion, the parties do agree as follows: 1. Preoeration of end Approval of Plans. Woodhill will propers the plene end specifIcations for construction of the eenitary sewer service line (the "improvement") from the woodhill clubhouse to Ruseell Avenue. Before letting the construction contreot. <.*.'ono ehell approve the said plans and specifications. Approval must be given or specific reasons for disapproval eubeitted to Woodhill within sixty (60) days of submission of the plane end speciflostions to Orono. 2. Construction. Woodhill will construct all portions of the Zeproveeent to the satisfaction of orono. The improvement will be located substantially as shown on Exhibit A attached hereto. 3. Payment for Inl'Cial Construction. Woodhill will pay for the initial construction of the Improvement from the Woodhill clubhouse to and including the hooK-up to the Orono municipal _a.
