■^pr.tion 7.5 At the organizational meeting, or as soon thereafter as it may <br />reasonable be done, the Board shall adopt bylaws governing its procedures, including the <br />time, place, notice for and frequency of its regular meetings, procedure for calling special <br />meetings, and such other matters as it deems necessary. The Board may amend the <br />bylaws from time to time. <br />The Board shall meet at least four times each year and on such other dates as may <br />be provided in its bylaws. The aimual meeting will be held in the month of <br />Septerriber unless othenvise provided in the bylaws. <br />j^ection 7.6 The Board may create an executive committee and other committees. <br />if it chooses to establish a procedure for doing so through its bylaws. The executive <br />committees may be authorized to exercise speciGed powers of the Board of Directors <br />between board meetings, subject to the limitations, if any, imposed upon it by the Board <br />*5**- <br />through its bylaws. <br />Section 7.7 All meetings of the Board shall be conducted as if the Open Meeting <br />Law applied. <br />VIII.OFFICERS <br />Section 8.1 The officers of the Board are a chair, a vice-chair, and a secretary <br />elected by the Board for a term of one year and until their respective successors are <br />elected and qualify, at the annual meeting.
