Section, 8.2 A vacancy in the office of chair, vice-chair, or secretary occurs for <br />any of the reasons for which a vacancy in the office of Director occurs. Vacancies in <br />these offices are filled by the Board for the unexpired portion of the term. <br />gectign 8.3. The chair presides at meetings of the Board. The vice-chair acts as <br />chair in the absence, disqualification or disability of the chair. <br />Section 8,4 The secretary is responsible for keeping a record of the proceedings of <br />the Board and for such other duties as may be assigned to the secretary by the Board. <br />Sectign S»5. In its bylaws, the Board may establish such other offices, as it deems <br />• • • <br />necessary, in addition to those set forth in this Article. <br />DC.POWERS AND DUTIES OF THE BOARD <br />Section 9.1 The powers and duties of the Board of Directors include the powers <br />set forth in this Article. <br />Section 9.2 It shall adopt policies and procedures consistent with its General <br />Purpose set forth in Article HI. <br />Sectiort 9.3 It shall resolve any conflicts or inconsistencies that may arise related <br />to community youth athletic programs. <br />Section.9.4 It may exercise any other power necessary and convenient to the <br />implementation of its powers and duties under the provisions of this Agreement. <br />Section 9-5 The Alliance shall not discriminate on the basis of sex, race, creed, <br />national origin, color, religion, age, or disability and will conform to all applicable State <br />and Federal laws and regulations including, without limitation, the Americans with <br />If <br />Disabilities Act, 42 U.S.C. §12101 et seq. <br />(
