agreement must designate the first Director(s) for the Board. In addition, an executed copy of the Agreement must be filed with the Alliance. Section 5.4 Any organization eligible for membership under Section 5.1 may apply to become a Member Organization by resolution of its governing body. Section 5.5 An eligible organization which has applied to become a Member Organization after the effective date of this Agreement may be admitted upon the approval of two-thirds of the votes of the Board present and voting at any regular or special meeting. The Board may, in its bylaws, impose conditions upon admission of additional members. ARTICLE VI. BOARD OF DIRECTORS Section 6.1 The policy-making body of the Alliance is its Board of Directors. Section 6.2 The District shall appoint four (4) representatives to the Board of Directors. The District shall select one or more alternatives to carry out the duties of an absent Director. Section 6.3 All other parties to the Agreement are entitled to select one Director to seive'e on the Board and one alternate to carry out the duties of an absent Director. Section 6.4 Each Director is entitled to one vote. In the absence of a duly appointed Director, the designated alternate for that Member Organization may vote. Section 6.5 A Director is appointed by resolution of the governing body of the member. A Director serves at the pleasure of the governing body and until a successor is appointed.
