MAC LEO Agreement <br />June 27.2002 <br />2) Nothing in this Agreement shall be construed to waive any rights, privileges, immunities, <br />or tort damage limitations available to either MAC or the Agency under Federal or State <br />law. <br />3) MAC agrees to defend and indemnify the Agency against any and all claims brought or <br />actions filed against the Agency or the Agency's ofTicers, employees, or volunteers, <br />including but not limited to those for injury to any third person or persons, death of any <br />third person or persons, damage to the property of any third person or persons, or <br />violations of the civil rights of any third person or persons, arising from the performance <br />and provisions of airport security services pursuant to this Agreement. <br />4) MAC agrees to maintain in effect during the duration of this Agreement and at its <br />expense general liability insurance providing limits of at least $25,000,000 bodily injury, <br />personal injury and property damage combined each occuirence/offense. The insurance <br />policy will include the Agency as an additional insured with respect to the services <br />provided in this Agreement. MAC will provide the Agency with a certificate of insurance <br />naming the Agency as an additional insured and providing at least a ten (10) day notice of <br />cancellation or any significant material change in coverage. <br />ARTICLE V <br />WORKERS’ COMPENSATION <br />Each party shall be responsible for injuries or death of its own personnel. The Agency will <br />maintain workers ’ compensation insurance or self-insurance coverage, covering its own <br />personnel while they are performing airport security activities pursuant to this agreement. <br />Each party or its officers, employees, or volunteers waives the right to sue the other party or <br />its officers, employees, or volunteers, for any workers ’ compensation benefits paid to its own <br />employees or volunteers or their dependent, even if the injuries are caused wholly or partially <br />by the negligence of the other party of its officers, employees, or volunteers. <br />ARTICLE VI <br />DAMAGE TO EQUIPMENT <br />Each party shall be responsible for damage to or loss of its own equipment. Each party and <br />their representatives waives all rights to sue the other party for any damages to or loss of its <br />equipment, even if the damage or loss were caused wholly or partially by the negligence of <br />any other party or its officers, employees, or volunteers. <br />ARTICLE VII <br />EMERGENCIES <br />MAC recognizes that the Agency may have to recall its personnel for emergency purposes. <br />Agency will attempt to notify M.AC at the earliest possible time that the Agency’s LEOs are <br />unavailable for services under this Agreement. <br />ARTICLE VIII <br />LEOs EMPLOYMENT STATUS <br />lAitfaMlllaiiAW
