Provider’s Duties Continued: <br />2.2.1 General Comprehensive Liability Insurance: Provider <br />shall maintain general comprehensive liability insurance in <br />the amount of at least $300,000.00 per individual and <br />$1,000,000.00 per occurrence. <br />2.2.2 Professional Liabilit)' Insurance: Provider shall maintain <br />professional liability insurance in the amount of at least <br />$1,000,000.00 per occurrence. <br />3. City’s Duties: City shall pay Provider $ 800.00 for the services rendered by <br />Provider for the term of this Agreement. Payments shall me made in four <br />equal installations on a quarterly basis. To receive payments. Provider shall <br />submit an invoice detailing the services provided for the quarter uhich shall <br />also include the following signed and dated statement: <br />“I declare under penalty of perf urv that this account, claim or demand <br />is |ust and correct and that no part of it has been paid.” <br />4. Miscellaneous Provisions: <br />4.1 Independent Contractor: Provider shall at all times be an <br />independent contractor. Nothing contained in this Agreement shall <br />in any way create or be construed to create a partnership, an agency <br />relationship or an employment relationship between City and <br />Provider. <br />4.2 Data Practices Act: The Provider shall at all times abide by the <br />Minnesota Government Data Practices Act, MN Statute 1301 , et seq., <br />to the extent that the Act is applicable to data and documents in the <br />hands of the Provider. <br />4.3 Audits: The books, records, documents, and accounting procedures <br />and practices of the Provider or other parties relevant to this <br />agreement are subject to examination by any person(s) with legal <br />authority to audit City records or on behalf of the City for a period of <br />six years after the Termination Date. <br />4.4 Income Tax Withholding: No final payment shall be made to the <br />Provider until the Provider has submitted satisfactory evidence to the <br />City that the Provider and each of its subcontracts has complied with <br />the provisions of MN Statute 290.92 relating to withholding of <br />income taxes upon wages. A certification by the Commissioner of <br />Revenue shall satisfy this requirement.
