CITY OF ORONO <br />HUMAN SERVICFS AGREEMENT <br />THIS AGREEMENT is made and executed the 24"' day of July, 2003, by and between the City of <br />Orono, located at 2750 Kelley Parkway, Orono, MN 55356 and Teens Alone, located in Hopkins, <br />Minnesota. <br />WHEREAS, The City recognizes the benefit of counseling and mediation services that <br />support residents with special needs who are unable to access services by other means that <br />focus on prevention and early intervention, build on strengths and resources of families, and <br />that are culturally diverse and locally available; <br />WHEREAS, The Provider provides <uch services and City desires to hire Provider to <br />perform such services. <br />NOW THEREFORE, in consideration of the mutual covenants and agreements contained <br />herein, the parties agree as follows: <br />I.Term and Termination: <br />1.1 Term: The term of this Agreement shall be one year commencing on <br />January 1, 2003, (“Commencement Date") and terminating <br />December 31,2003, (“Termination Date”.) <br />1.2 Termination: This Agreement may be terminated by City upon thirty <br />(30) days notice to Provider in the event that the City determines that <br />funding for the services provided by Provider are no longer necessary <br />or in the public interest. This Agreement may be terminated by City, <br />at its sole discretion, without notice if Provider breaches this <br />Agreement in any way. If this Agreement is terminated for any <br />reason. Provider shall be paid for services rendered up to the date of <br />termination. <br />Provider's Duties: <br />2.1 Services: Provider shall provide the services as set forth on <br />Exhibit A, attached hereto and incorporated herein by reference. <br />2.2 Sn.'urance: Provider shall maintain insurance, as spieciried in this <br />Section 2.2, for the term of this Agreement. Prior to the <br />commencement date of this Agreement, Provider shall submit to City <br />certificates of insurance. All required insurance policies shall list the <br />City as an additional insured and provide that the policies shall not be <br />terminated or modified unless the City has first been notified in <br />writing thirty (30) days prior to cancellation or modification. <br />-------
