22. <br />enforcement services by the City of Orono, its officers, agents, employees and <br />contractors. <br />Nothing in this Agreement shall be construed as any waiver by cither City of any <br />statutory or common law immunities, defenses, or limits on liability. <br />In no event shall this agreement be construed to fix upon the City of Orono any <br />responsibility or liability to Spring Park which is greater or different in kind than the <br />responsibilities and liabilities borne by Spring Park if it was providing law enforcement <br />services through its own police .lepartment. It shall not be a violation of this agreement if <br />the City of Orono, in the exercise of reasonable judgment, is unable to respond promptly <br />or to respond with only limited officers and equipment, or is delayed in responding to a <br />call. <br />Prior Contract. Notwithstanding any language herein to the contrary, or in prior <br />contracts between the parlies, any credit or debit due to the Contract Cities or to the City <br />of Orono on account of prior agreements and contracts for law enforcement between the <br />parties shall be payable in 2005 as provided herein for credit or debit payments payable <br />in 2005 and thereafter. <br />23. Police Contract Service Explanation. The City of Orono will deliver 24 hour patrol <br />and response throughout Orono, Minnetonka Beach, Spring Park and Long Lake; will <br />conduct routine patrol throughout the cities as needed, will conduct periodic security <br />checks of businesses, and will conduct such duties as requested by the Contract City's <br />councils. The City of Orono will submit regular reports to the Contract City officials and <br />appear at council meetings or any other special meetings as required by the council. This <br />can be the Chief or any other member of the department as required by the council. <br />One officer assigned to and stationed in Spring Park 24 hours per day, seven days per <br />week, as set out in section 3A above, was requested by Spring Park and will be assigned <br />to Spring Park by mutual agreement between the City of Orono Police Department and <br />the Spring Park City Council. <br />24. Duration of Contract. <br />1 he initial term of this agreement is five years. In each year of this agreement that the <br />Annual Budget Package is ratified by November 1 by the City of Spring Park, this <br />Agreement will be renewed for a total term of five years beginning with the contract year <br />following the year in which the Annual Budget Package is ratified, fhe elements of the <br />Annual Budget Package so ratified will replace the elements of the previously ratified <br />Annual Budget Package In the event that, in any contract year, the Annual Budget <br />Package is not ratified by the City of Spring Park by November 1, then the amount <br />previously ratified for the next year ’s budget, as part of the most recently ratified Armual <br />Page 10 <br />j
