Budget Package, shall become the Annual Operating Budget for that year, the term of this <br />agreement will not be renewed, and the agreement will continue in force for the balance <br />of the most recently ratified five-year term. If, in each of the five /cars of any five year <br />term, the Annual Budget Package is not ratified by November 1, the agreement will <br />terminate at the end of the most recently ratified five-year term. <br />25. Termination of Contract <br />This Agreement may be terminated by the metho^. detailed in section 24, by mutual <br />agreement of all Contract Cities, or for cause. In addition, if any one of the Contract <br />Cities terminates their police services agreement with Orono, the City of Spring Park may <br />renegotiate or terminate this Agreement, unless the cost to the City of Spring Park <br />remains within the approved budget package amounts. <br />In the event that the City of Spring Park terminates this agreement, the City of Spring <br />Park agrees to pay to the City of Orono any of the reasonable extraordinary costs i curred <br />by or within the Police Department of the City of Orono on account of such termination <br />unless the termination is for cause. Tlie extraordinary costs include but are not limited to <br />unemployment benefits paid because of the need to lay off existing police department <br />personnel and severance pay as required by union contract. <br />Termination for cause is defined as a material breach of the contract directly related to <br />the provision of police services. The Contract City will provide a written notice of the <br />alleged material breach to the Orono City Administrator identifying the specific breach, <br />and providing a reasonable time for the City to cure the breach. If the breach is not cured <br />in a timely manner, the termination process will proceed. <br />The determination of whether the reason for the termination is a material breaeh will be <br />made upon mutual agreement by the parties to this agreement. If the parties are unable to <br />reach agreement, the matter will be submitted to arbitration in the manner provided by- <br />paragraph 17 of this agreement. <br />No termination costs shall be imposed unless and until authorized representatives of the <br />parties hereto have met and such termination costs have been mutually agreed upon. In <br />the event the parties are unable to reach agreement, the maiter shall be submitted to <br />arbitration as provided in paragraph 17 of this agreement. <br />Termination of this contract by either party shall not affect the obligation of either party <br />to perform the contract prior to the time that such termination becomes effective. <br />26. No Discrimination. The City of Orono agrees that during the period of this contract, it <br />will not discriminate against any employee or applicant for employment because of race, <br />color, creed, sex, national origin, or ancestry and will include a similar provision in all <br />subcontracts entered into for the performance hereof. This paragraph is inserted in the <br />contract to comply with the provisions of Minnesota Statutes Section 181.59. <br />Page 1 1
