In the event <br /> ' the Ovmer elects to terminate this Contract pursuant to this provision, the Owner sha11 <br /> notify Contractor by certified or registered mail,retum receipt requested, fifteen (15) days <br /> pnor to the effective date of the basis and extent of termmation. Termination sha.11 be <br /> ' effective at the close of business on the date specified in the notice. <br /> 14.4.2 Upon delivery by certified or registered mail to Contractor of a notice of termination <br /> ' specifying the nature of the terminaxion and the date upon which such termination becomes <br /> effective,Contractor sha11: <br /> ' .1 Stop Work under this Contract on the date and to the extent specified in the notice of <br /> termination. <br /> ' .2 Place no further orders and enter into no further subcontracts. <br /> .3 Terminate all orders and subcontracts to the extent that they relate to the performance <br /> of work terminated by the Notice of Termination. <br /> ' .4 With the advance approval of the Owner, settle all outstanding liabilities and all claims <br /> arising out of such termination of orders and subcontracts, the cost of which would be <br /> ' reimbursable in whole or in part in accordance with the provisions of the Contract. <br /> .5 Within ten (10) work days from the efFective date of termination, transfer title to <br /> ' Owner (to the extent that title has not already been transferred) and deliver, in the <br /> manner, at the times, and to the extent directed by the Owner, all files, processing <br /> systems (excluding equipment and opera.ting systems), data manuals, and other <br /> , documentation in any form that relate to the work terminated by the Notice of <br /> Termination. <br /> .6 Complete the performance of such part of the work as has not been terminated by the <br /> ' Notice of Termination;and <br /> .7 Take such action as may be necessary, or as the Owner may direct, for the protection <br /> , and preservation of the property related to this Contract, which is in the possession <br /> of Contractor and in which Owner has or may acquire an interest. <br /> ' 14.4.3 -Contractor shall proceed immediately with the performance of the above obligations <br /> notwithstanding any delay in deternuning or adjusting the amount of any item of <br /> reimbursable price under this clause. <br /> , <br /> ' Suppl Conds-30 <br /> I-IENNEPINCOi1NTY Orono Salt Stora�e <br /> March 22,2002 Project No.: 0031569 Contsact No.: 0751R2 <br /> � <br />
