AGREEMENT <br /> This is an Agreement between the City of Long Lake, Minnesota(Long Lake) and the <br /> City of Orono, Minnesota(Orono), collectively called the Parties (the Parties), on certain matters <br /> with respect to the joint development of a fire station situated within the City of Orono. <br /> WHEREAS, the Parties have entered into a previous Agreement on August 8, 2001 <br /> (Settlement Agreement) for the joint construction, ownership and operation of a new fire station; <br /> and <br /> WHEREAS,pursuant to the Agreement of August 8, 2001, the Parties have agreed to <br /> purchase property in Orono for the new fire station site. The fire station site is a portion of a <br /> larger parcel legally described as Lot 1, Block 1, Willowfire Addition (the "Parcel"); and <br /> WHEREAS, certain matters have arisen with respect to the development of this Parcel <br /> which the Parties desire to resolve and memorialize as an enforceable Agreement; <br /> NOW, THEREFORE, Long Lake and Orono, for good and valuable consideration, <br /> receipt of which is mutually acknowledged, do agree as follows: <br /> 1. The Parties agree that the Parcel will be served by a public road which will <br /> provide access to the fire station and to the outlot created to the east of the fire station. The <br /> public road is shown on the attached Exhibit A. The construction cost of this road will be funded <br /> from the joint fire station account, as created by the Agreement of August 8, 2001. The fire <br /> station account will be reimbursed for 50% of the construction cost of the road,plus interest at <br /> the annual rate of 4%, when the outlot to the east of the fire station is developed. <br /> 2. The Minnesota Department of Transportation has agreed to pay the full cost of <br /> providing a sewer line to serve the fire station. The sewer will cross the Parcel approximately as <br /> shown on Exhibit A. The Parties agree that the sewer line may be built to specifications which <br /> provide for greater sewer line depth than the sewer line for which the Minnesota Department of <br /> Transportation has agreed to pay. The Parties estimate the additional expense of the deeper <br /> sewer line to be approximately$70,000.00. Orono agrees to pay the additional costs. <br /> 3.
