Any approval of the <br />transfer to Dowden Partners would at this point need to be <br />conditioned upon this requirement being satisfied. <br />In this regard, principals for Dowden Partners have <br />advised 1:s that the Limited Partnership Agreement would be <br />executed prior to the closing. Consequently, it would <br />appear that the Commission could not reasonably withhold <br />approval of the transfer to Dowden Partners based upon the <br />legal qualifications provided legal counsel is presented <br />with legally sufficient organizational and creation docu- <br />ments of the Limited Partnership prior to the actual closing <br />and transfer taking place. <br />B.
