JOINT POWERS AGREEMENT <br />THIS AGREEMENT made by and among the Cities of Long Lake, <br />Loretto, Maple Plain, Medina, Minnetonka Beach and Orono <br />(hereinafter referred to collectively as the "Participants") is <br />effective on the day and year provided herein. <br />1. PURPOSE AND AUTHORITY. This Agreement is entered into under <br />the authority of Minnesota Statutes section 471.59. The. <br />Participants have determined that it is to their mutual advantage <br />to form a single joint powers entity that shall establish and <br />operate within the present and future boundaries of the <br />Participants a program for recycling newspaper, metal and glass. <br />Under the proposed recycling program (the "Program"), residents <br />will be encouraged to deposit recyclable newspaper, metal and <br />glass at a central collection facility established and operated <br />under this Agreement. The central collection facility will be <br />supplemented by a mobile collection unit that will travel on a <br />periodic basis between the central collection facility and <br />several satellite locations. The collected recyclable materials <br />will be hauled to commercial recycling centers where they will be <br />sold. <br />2. COMMISSION. There is hereby created the <br />Commission (the "Commission") consisting of six commissioners. <br />Appointment and Term. The governing body of each <br />Participant shall, by majority vote, appoint a person, who may or <br />may not be an elected official of the participants, to serve as a <br />commissioner. Appointments shall be for a two year period unless <br />the respective governing body makes the appointment for a lesser <br />period. Commissioners shall serve until their successors are <br />appointed and qualified. Vacancies shall be filled for the <br />unexpired term by the appropriate governing body. A vacancy <br />occurs upon the death or resignation of a commissioner. <br />b. Compensation. Commissioners shall serve without <br />compensation by the Commission. Reimbursement of expenses for <br />each commissioner shall be governed by state statutes and the <br />charter, ordinances, and policies of the Participant that <br />commissioner represents. <br />C. Officers. The Commission shall choose one of its <br />m,•mbers as chairperson and one of its members as <br />secretary -treasurer. The chairperson sha11 preside at all <br />meetings of the Commission. The secretary -treasurer shall keep a <br />complete record of each meeting and of all proceedings and <br />business of the Commission and shall keep an accurate accounting <br />of all receipts anO disbursements of the Commission: The <br />chairperson and secretary -treasurer shall sign all contracts <br />authorized by and in the tame of the Commission. <br />
