Section 5.04 There shall be a NOMINATING COMMITTEE, consisting of a Chairman and five (5) other members, two of whom shall be elected by the Active Members of the Squadron at the Annual Meeting each year for a term of three (3) years. Section 5.05 There shall be a RULES COMMITTEE, consisting of a Chairman and five (5) other members, two of whom shall be elected by the Membership of the Squadron at the Annual Meeting each year for a term of three (3) years. Section 5.06 There shall be an AUDITING COMMITTEE, consisting of a Chairman and two (2) other members, one of whom shall be elected at the Annual Meeting each year for a term of three (3) years. ELECTED ASSISTANTS Section 5.07 The ASSISTANT EDUCATIONAL OFFICER shall assist the Educational Officer in the discharge of his duties and; in his absence or incapacity, act in his place and stead, including voting at any meeting. Section 5.08 The ASSISTANT SECRETARY shall assist the Secretary in the discharge of his duties and; in his absence or incapacity, act in his place and stead, including voting at any meeting. Section 5.09 The ASSISTANT TREASURER shall assist the Treasurer in the discharge of his duties and; in his absence or incapacity, act in his place and stead, including voting at any meeting. ARTICLE VI DUTIES AND POWERS OF OFFICERS AND COMMITTEES Section 6.01 The COMMANDER shall 6.01.1 Preside at all meetings of the Squadron and Itsrxecutive Committee. -8- MINNETONKA POWER SQUADRON BYLAWS Page 9 6.01.2 Execute all written instruments in the name orTiie Squadron when directed by the Executive Committee or by the Membership. 6.01.3 Have command of the fleet when the vessels of tli'eSquadron are formally assembled. 6.01.4 Appoint, with the concurrence of the Executive Committee, appointive officers and the Chairmen and members of the appointive committees. 6.01.5 -Determine the times and places for instruction in the educational courses of USPS, after consultation with the Educational Officer, and subject to the approval of the Executive Committee. 6.01.6 Be an ex officio member of all committees and tioa'ras of the Squadron except the Nominating, Rules, and Auditing Committees. 6.01.7 Make recommendations for membership on USPS committees and for National and District officers and make reports to National and District officers as required by the policy and authority of USPS and the District. 6.01.8 Appoint, with the advice and approval of the Executive Committee, Delegates to the Conferences of the District and to the Annual and Special Meetings of USPS. 6.01.9 Turn over to his successor, at the expiration oT1iTs term of office, a complete set of all records, reports, communications, and documents pertaining to the affairs of the Squadron. Section 6.02 The Executive officer shall assist the Commander in the discharge of his duties and, in the Commander's temporary absence or incapacity, act in his place and stead. He shall be responsible to the Membership, the Executive Committee and the Commander for all committees under his supervision, generally those assigned to the Executive Department by the policy and authority of USPS. He shall be an ex officio member of all such committees. At the expiration of his term of office, he shall turn over to his successor a complete set of all records, reports, communications, and documents pertaining to the affairs of the Squadron. -3-
