3. Other. The City may terminate the Agreement at any time if destruction has <br />rendered the Designated Area substantially unfit for use by the LLRC. <br />B. Financial Obligations. Any financial obligation to the City shall survive termination <br />of this Agreement and payment of any financial obligations shall be made to the City within 10 <br />days following termination. <br />C. Removal of Property. Upon termination, LLRC shall (i) immediately remove all of <br />its items of personal property, including furniture, supplies and equipment, from the Designated <br />Area; (ii) return all fobs and keys to the OPWF and Designated Area and (iii) leave the portions of <br />the Designated Area used by LLRC in clean, sanitary, and orderly condition, ordinary wear and <br />tear excepted. Any LLRC property remaining at the Designated Area after termination shall be <br />deemed by the City to be abandoned. <br />21. Entire Agreement. This Agreement constitutes the entire agreement of the parties with <br />respect to the subject matter of this Agreement and shall not be modified or amended in any <br />respect except by a written instrument executed by LLRC and the City. This Agreement replaces <br />and supersedes all prior written or oral agreements by and between the parties to this <br />Agreement. <br />22. Governing Law. This Agreement shall be construed and enforced in accordance with the <br />laws of the State of Minnesota. <br />23. Severability. If any provision of this Agreement is determined by any court of competent <br />jurisdiction or arbitrator to be invalid, illegal, or unenforceable, that provision shall be deemed to <br />be severed from this Agreement and the remaining provisions of this agreement shall remain in <br />full force and effect. <br />24. Assignment. The LLRC may not transfer or assign LLRC's rights or privileges under this <br />Agreement to a third party. The LLRC shall not grant access or allow a third party to use the <br />Designated Area at any time, without prior approval by the City, which may be granted in the <br />City's discretion where the use is consistent with the services provided by LLRC. <br />25. Compliance with Laws. LLRC shall comply with all federal, state and local laws and <br />regulations in connection with LLRC's use of the OPWF or Designated Area. <br />26. Benefit of the Par -ties. This Agreement is made solely for the benefit of the parties to this <br />Agreement. No other person or entity shall have or acquire any rights by virtue of this Agreement. <br />27. No Waiver.
