provide the City with certificates of insurance evidencing the required insurance policies to be <br />carried by LLRC hereunder upon request by the City. <br />B. The LLRC shall name the City as an additional insured by endorsement on a primary <br />and non-contributory basis on the commercial general liability insurance policy. All policies shall <br />include a Waiver of Subrogation. A copy of all notices from the insurance company must be <br />provided to the City within five (5) days of receipt. The policy or policies shall provide that the <br />policies may not be canceled or altered without at least a thirty (30) day notice to the City. <br />C. The LLRC shall provide replacement/renewal certificates at least 30 days prior to <br />the expiration date of the policies and upon request by the City. <br />19. Notices. All notices, offers, consents or other communications required or permitted to <br />be given pursuant to this Agreement shall be in writing and shall be considered as properly given <br />or made if delivered personally or by messenger or delivered by mail, and addressed to the <br />address of the intended recipients at the following addresses: <br />TO CITY: City of Orono <br />2750 Kelley Parkway <br />Orono, MN 55356 <br />Attn: Parks and Facilities Superintendent <br />TO LLRC: Long Lake Rowing Crew <br />Attn: <br />Either party may change its address by giving notice in writing stating its new address to the other <br />pa rty. <br />20. Termination. <br />A. This Agreement may be terminated as follows: <br />1. Voluntary Termination. This Agreement may be terminated by either party upon <br />90 days' written notice to the other party or upon mutual agreement of the <br />parties. <br />2. Breach or Default. LLRC must correct any violation, breach, or failure to keep or <br />perform any conditions of this Agreement within thirty (30) days after receiving <br />written notice of such from the City.
