emergency medical services to the Members and to provide for an orderly transition of <br />operational responsibilities of the Long Lake Fire Department and the Orono Fire Department to <br />the joint powers entity created by this Agreement. <br />NOW, THEREFORE, the Members, in consideration of the following provisions and <br />covenants, do hereby agree as follows: <br />SECTION 1 GENERAL <br />1.1 Effective Date. This Agreement is effective when it has been approved by resolutions of <br />the governing bodies of all Members, notwithstanding the date of execution of this Agreement. <br />The approving resolutions must include the appointment of the Member's Directors as provided <br />in Section 2.2 of this Agreement. Copies of the approving resolution for each Member will be <br />attached to and become a part of this Agreement. <br />1.2 Operative Date. The Members acknowledge that time is needed to effectively transition <br />the operations of the Long Lake Fire Department and the Orono Fire Department to the <br />Department (as defined in Section 2.1 below). By majority vote, the Board as established in <br />Section 2.2 of this Agreement shall determine the date (the "Operative Date") that the <br />Department established by this Agreement has secured the necessary personnel, equipment, <br />insurance and other requirements to commence operations as an independent fire department, <br />with a goal of January 1, 2026 as the Operative Date, <br />1.3 Transitional provisions. Sections 2 through 12 below govern the establishment and <br />ongoing governance and operation of the Department established by this Agreement. Section 15 <br />addresses those matters related to the transition period between the Effective Date and the <br />Operative Date. With the exception of Section 15.6 "Fire District Formation", the provisions of <br />Section 15, cease to be effective on and after the Operative Date. <br />SECTION 2 ORGANIZATION <br />2.1 Establishment. There is hereby established by the execution of this Agreement the <br />"Shoreline Fire Department" (hereinafter referred to as the "Department") to be managed and <br />operated pursuant to the terms of this Agreement. <br />2.2 Governance. The governing body of the Department shall be the "Shoreline Fire <br />Department Board" (hereinafter referred to as the "Board"). The Board shall consist of the <br />following members, each of whom is a "Director". <br />a. Voting Directors: The Board shall initially have four votuig directors: two <br />members appointed by Long Lake's governing body and two members <br />appointed by Orono's governing body. No employee of the Department or <br />any police department serving the Members may serve on the Board as a <br />Voting Director. Each Member shall appoint at least one, but not more than <br />two, Voting Director(s) who is/are a seated city council member.
