SHORELINE FIRE DEPARTMENT <br />JOINT POWERS AGREEMENT <br />THIS AGREEMENT ("Agreement") is entered into by and between the CITY OF <br />ORONO, a Minnesota municipal corporation ("Orono") and the CITY OF LONG LAKE, a <br />Minnesota municipal corporation ("Long Lake"), collectively, the "Members" or each a <br />"Member". <br />RECITALS <br />WHEREAS, the Members hereto are authorized by law to provide fire protection <br />services to their residents; and <br />WHEREAS, Minnesota Statutes Section 471.59 authorizes governmental units by <br />agreement of their governing bodies jointly and/or cooperatively to exercise any power common <br />to the contracting Members and to provide for a joint board representing the Members to the <br />agreement; and <br />WHEREAS, the Members, together with the City of Medina, have previously entered <br />into an Agreement and Contract for Fire Protection, dated October 15, 2002 (the "2002 <br />Agreement"), as amended by an Addendum to Contract for Fire Protection between Orono and <br />Long Lake, dated December 12, 2011 (the "Addendum") and a First Amendment to Agreement <br />and Contract for Fire Protection among the Members, dated April 14, 2025 ("the First <br />Amendment") (the 2002 Agreement, Addendum and First Amendment being collectively <br />referred to in this Agreement as the "Existing Fire Services Agreement"); and <br />WHEREAS, the Members entered into a Contract for Joint Ownership, dated August 8, <br />2001 (the "Joint Ownership Contract"), relating to the joint ownership, operation and <br />maintenance of the real property at 340 Willow Drive in Orono, which is improved with a fire <br />station designated by that agreement as Long Lake Fire Station #1 and designated by this <br />Agreement as provided in Section 14.10 below; and <br />WHEREAS, the Members entered into an Agreement executed in Apri12002 regarding <br />the joint development of Fire Station #1 (the "2002 Development Agreement"), which has been <br />fully performed; <br />WHEREAS, the Long Lake Fire Department currently has 1 full-time employees and 36 <br />paid -on call employees; and <br />WHEREAS, the Orono Fire Department currently has 12 part-time employees; and <br />WHEREAS, the adoption of this Agreement has been authorized by the governing body <br />of each party; and <br />WHEREAS, the Members hereto desire to enter into a new joint powers agreement for <br />the purpose of creating and implementing a joint powers entity to provide fire protection and <br />235703v20 <br />
