2.8 Department Office. The primary office of the Department shall be at 340 Willow Drive <br />North, in Orono (the mailing address of which is Long Lake, MN 55356), but may be changed <br />by the Board from time to time, after giving notice to the Members. <br />2.9 Fiscal Arment. Orono shall act as the initial fiscal agent for the Department, and Long <br />Lake shall act as the initial assistant fiscal agent for the Department. The fiscal agent and <br />assistant fiscal agent shall be required co-signers on all accounts and shall collaborate on all bank <br />account reconciliations. The Department shall maintain a dedicated records terminal and storage <br />at Long Lake Fire Station #1 and each Member shall have access at all times to the fiscal and <br />accounting records. The fiscal agent and assistant fiscal agent shall perform requisite services at <br />no cost to the Department. The Department shall indemnify and hold the fiscal agent and the <br />assistant fiscal agent harmless from any claims, causes of action, or liability arising out of <br />actions either takes in performing duties under this section except for claims, causes of action or <br />liability arising out of the gross negligence or intentional misconduct of the fiscal agent or the <br />assistant fiscal agent, respectively, in performing their duties under this paragraph. The <br />appointment of Members to the roles of fiscal agent and assistant fiscal agent shall be reviewed <br />by the Board annually and the Board may change the fiscal agent as it deems necessary. <br />2.10 Administrative support services. The Board may but shall not be required to contract <br />with one or more Members to provide required support services to the Department, until the <br />Department employs staff to fulfill the duties. Any contract or informal agreement for services <br />may not provide for compensation to the Member in excess of the Member's actual hourly costs, <br />including benefits. All support services shall be coordinated with the Fire Chief, with oversight <br />from the Operating Committee and the Board. <br />SECTION 3 GENERAL POWERS OF TIIE BOARD <br />3.1 Powers. The Board shall have and is hereby given all powers, duties and functions <br />enumerated in this Agreement and provided by law, and all such finther powers necessary to <br />carry out the intent and purpose of the Department with respect to acquisition of property and <br />operation of the Department heretofore set forth, including but not limited to the following: <br />employ and determine the terms of employment of fire protection, <br />administrative, and other personnel, accountants, consultants, engineers, <br />legal counsel, and other qualified personnel. <br />b. To cause reports, plans, studies, and recommendations to be prepared. <br />c. To purchase capital equipment and land, and to cause the construction of <br />buildings to implement the purposes of the Department. <br />d. To lease or purchase equipment (including capital equipment) and supplies <br />necessary for the proper operation, care, maintenance, and preservation of <br />Department facilities and equipment. <br />235703v20 <br />
