CITY OF ORONO <br />AGREEMENT FOR SERVICES <br />AGREEMENT made this day of , 2025, by and between the <br />CITY OF ORONO, a Minnesota municipal corporation ("City"), and the GILLESPIE CENTER, <br />a Minnesota non-profit corporation ("Gillespie"). <br />Whereas, Gillespie owns and operates a building located at 2590 Commerce Boulevard, <br />Mound, MN, 55364. This building is used primarily as a senior community center and to provide <br />assistance, services, and social opportunities to community members of all ages. <br />Whereas, Gillespie is privately funded through membership dues, fundraising activities <br />and donations. No Board members or officers of Gillespie are paid and most work by Gillespie is <br />performed by volunteers. <br />NOW, THEREFORE, IN CONSIDERATION OF THEIR MUTUAL COVENANTS <br />THE PARTIES AGREE AS FOLLOWS: <br />1. Scope of Services. Gillespie agrees to provide services to the Orono residents as <br />described in Exhibit A, attached and made a part of this Agreement. <br />2. Time for Performance of Services. The term of this Agreement shall be from January <br />1, 2026, through December 31, 2026, the date of signature by the parties notwithstanding. <br />This Agreement may be extended upon the written mutual consent of the parties for such <br />additional period, as they deem appropriate, and upon the terms and conditions as herein <br />stated. If this Agreement is extended for at least three years, the City shall appoint a City <br />Council member to review the Gillespie's performance on this Agreement once every <br />three years. If the City is dissatisfied with Gillespie's performance under this review, the <br />City may terminate this Agreement. <br />3. Compensation for Services. The City hereby agrees to pay Gillespie Thirteen Thousand <br />and no/100ths ($13,000.00) Dollars for the services provided on Exhibit A on or before <br />the end of the Term. <br />4. Extra Services. The City will pay Gillespie for extra services by Gillespie or Special <br />Contractors only when authorized in writing by the City. <br />5. Authorized Agents. The City shall appoint an authorized agent for the purpose of <br />administration of this agreement. Gillespie is notified that the authorized agent for the <br />City is as follows: <br />Adam T.
