MINUTES <br />LAKE MINNETONKA CABLE COMMUNICATIONS COMMISSION <br />5:00 P.M., EXCELSIOR STUDIO <br />TUESDAY, JUNE 21, 1988 <br />I. CALL TO ORDER <br />Chairman Haggerty called the June 21, 1988 meeting to order at <br />5101 P.M. <br />ROLL CALL <br />Directors Present Others Present <br />Jerry Roehl Holly Hansen <br />Jim Olds Shelly Quaas <br />Dennis Haggerty <br />Lesley Hughes -Seamans <br />Tom Anderson <br />Barb Brancel <br />Tim Adams <br />II. APPROVAL OF MINUTES <br />MOTION 6.21.88.1: Anderson moved, seconded by Roehl, to approve the <br />minutes of May 10, 1986 as written. Motion carried unanimously. <br />III. REPORTS <br />A. OFFICERS <br />Chairman Haggerty expressed to the Commission that a large amount of <br />the Commissioners and staff time was spent with Dowden trying to get <br />loose ends wrapped up with Regional Channel 6. He feels that the <br />Commission needs to be agressive in order to get things done. <br />B. TREASURER <br />Jerry Roehl explained to the Commission that W.F. Denny Company has <br />requested that the gross revenue must be defined. Hansen feels that <br />the Commission should get a legal opinion defining gross revenues, and <br />have Dowden explain their meaning of gross revenue and the procedure <br />used to calculate them. <br />MOTION 6.21.88.2: Roehl moved, seconded by Anderson, to request of <br />Dowden an explanation of their accounting procedures, and definition <br />of gross revenues and how they arrived at their totals. Also, to <br />request information on how the subscribers are sorted by zipcodes <br />within a franchise area. Dowden requested to report back to the <br />Commission within 30 days. Motion carried unanimously. <br />After more discussion of the proposed financial review of Dowden the <br />following motion was added to Motion 6.21.88.2. <br />MOTION 6.21.88.4: Roehl moved, seconded by Anderson. to request Dowden <br />to send the Commission a copy of the most recent audited financial <br />statement. Motion carried unanimously. <br />MOTION 6.21.88 3-JUST CLAIMS: Roehl moved, seconded by Olds, to approve <br />Just Claims as written in appendix A. Motion carried unanimously. <br />C. ADMINISTRATIVE <br />Administrator Hansen reported to the Commission that she received <br />a 20,000 Letter of Credit from Triax. It has a 30 day cancella- <br />tion notice_. <br />Also, Regional Channel 6 is up but the signal is not as good as <br />expected. Triax is waiting for some equipment which may take care <br />t of the problem. <br />Hansen would like a budget committee set up to prepare a budget for <br />1989 to present to the full Commission in August. Barb Brancel, <br />Tom Anderson, Jerry Roehl and Administrator ]Jansen will be in the <br />budget committee. <br />-1- <br />
