7. TERM. This Agreement shall continue in effect until December <br />31, 1988, unless extended, renewed, or terminated by the Participants <br />pursuant to the provisions of paragraph 8 below. <br />8. MODIFICATION. This Agreement may be extended, renewed, terminated <br />or amended by agreement of all the Participants as authorized by <br />resolution of each Participant's governing body. <br />9. WITHDRAWAL. A Participant may withdraw prior to the expiration <br />of the term of this Agreement or any subsequent extensions thereof <br />by giving 90 days' notice in the form of a resolution of its <br />governing body, Gerved by certified mail on the secretary -treasurer <br />of the Commission. Service shall be deemed to have, been made on <br />the date of mailing. Any grant monies or other funds received by <br />the withdrawing Participant or the Commission, either prior to or <br />after the effective date of withdrawal, that are attributable to the <br />Participant's participation in the Program prior to its withdrawal, <br />shall be paid to and remain the property of the Commission. <br />10. DISTRIBUTION UPON TERMINATION. Upon expiration of or termination <br />of this Agreement, any assets remaining after the payment of outstanding <br />ohligations shall be distributed to the Pariticpants in proportion to <br />their monetary contributions calculated over the life of the Agreement. <br />11. LIABILITY AND WORKS COMPENSATION INSURANCE. It is understood <br />and agreed that public liability insurance and workers compensation <br />insurance will be provided relative to the activities of the Commission <br />and its waste recycling collection. It is anticipated that the Cities <br />of Medina and Greenfield will arrange for this coverage and that,in <br />the event either city incurs any cost as a result of such coverage, <br />the Commission will reimburse said City for such cost. <br />12. ADDITIONAL PARTICIPANTS. The number of Participants may be <br />increased during the term of this Agreement by amendment, pursuant <br />to the provisions of paragraph 8 above; provided that any new <br />Participant shall also cause the Agreement as amended to be executed, <br />pursuant to authorizing resolution of its governing body. <br />IN WITNESS WHEREOF the Cities of Greenfi,?ld, Independence, Long <br />Lake, Loretto, Maple Plain, Medina, Minnetonka Beach and Orono have, <br />pursuant to authorizing resolution hereto attached, caused this <br />Agreement to be duly executed. <br />- 3_ <br />
