ARTICLE V <br />RCARD OF DIRECTORS --- <br />Section 1. The Board of Directors shall consist of not fewer - ‘ <br />than 15 nor more than 25 voting members. All Directors shall be members <br />of the Center and shall perform such special duties as the President or <br />Board shall designate. <br />Section 2. Members of the Board of Directors shall be elected <br />for a term of three years but are limited to serving two terms In <br />succession. Newiy elected Board members shall take office upon <br />election. <br />Section 3. Meetings of the Board of Directors may be held at <br />any time designated In the notice thereof. At least one day's notice, <br />either by telephone, In person, or In writing shall be given of each <br />meeting of the Board. <br />Section 4. One-half or more of the members of the Board of <br />Directors shall constitute a quorum at any meeting thereof. <br />Section 5. The President or any three directors may call a <br />meeting of the Board. <br />Section 6. An act of the majority of the Board of Directors <br />present at a meeting at which a quorum Is present Is the act of the <br />Board. <br />Section 7. The Board of Directors shall be vested with the <br />general management, conduct and control of the business and o* <br />the Center, and shall exercise all the powers and do all the things that <br />maybe exercised and done by the Center under the Statutes of Minnesota, <br />the Articles of Incorporation, and the Bylaws. <br />ARTICLE VI <br />p;r.7rTTnNS Awn appointments <br />Section 1. All officers shall be elected by the Board of <br />Directors. All director appointments shall be ratified by the <br />membership at the annual meeting. <br />Section 2. It shall be the duty of the Nominating Committee to <br />nominate one person to fill the position of each • <br />Additional nominations may be submitted In writing to the Nominating <br />Committee at least two weeks prior to the annual meeting. <br />Section 3.- A majority of those present <br />sufficient for election. . .-. . . .. .. . .' ••
