"'he fees will be paid in advance, on a <br />quarterly basis beginning December 31, 1991. Minnetonka will <br />notify each City in writing after the 1993 percentage increase <br />has been determined. If this notification occurs after January <br />1, 1993, each City will have 30 days after the notice to <br />reimburse Minnetonka for the increase retroactive to January 1, <br />1993. <br />4. Term. This agreement shall begin .Tanuary 1, 1992, and <br />conclude December 31, 1993, unless Minnetonka is unable to hire <br />and train sufficient personnel to provide these services by the <br />commencement date. In the latter event, the annual fee to each <br />City will be decreased proportionately. Minnetonka will <br />commence the provision of services no later than February 1, <br />1992. <br />5. Termination. Any of the Cities may terminate this <br />agreement if Minnetonka fails to perform the services provided <br />in paragraph 2 above by giving 60 days advance written notice of <br />termination to all of the other parties. Each City will not be <br />responsible for paying fees during any time that Minnetonka <br />fails to provide it the required services. Minnetonka may <br />terminate the agreement if any of the Cities fails to pay the <br />fees due within 60 days after Minnetonka notifies the City in <br />writing, with a copy to the other Cities, of the delinquent <br />payment. At Minnetonka's option, termination by any party voids <br />the agreement as to all parties, upon 60 days advance written <br />notice from Minnetonka. <br />6. Renegotiation. After July 1, 1993, the parties will <br />analyze the fees to determine if they accurately reflect the <br />costs incurred by Minnetonka in providing prosecution services <br />to the Cities and are appropriately allocated between the <br />Cities. The parties agree to negotiate in good faith a <br />potential extenr^on of this agreement with or without a revision <br />in the fee structure. <br />7.Exchange Data The Cities will provide all <br />information, data, and reports necessary for the prosecution <br />services, including police reports and arrest records, to <br />Minnetonka without charge. The parties will cooperate with each <br />other in every way possible to assist in the provision of these <br />prosecution services. <br />8. gonfIdantlalltv. Minnetonka will maintain the <br />confidentiality and privacy of documents which the Cities <br />provide, in accordance with the Minnesota Data Practices Act. <br />9. Indemnity. Minnetonka will indemnify and defend each <br />of the Cities against all claims arising out of Minnetonka's <br />performance of the services specified in paragraph 2 above. <br />-2-
