r <br />[* <br />r- <br />► r <br />54 <br />RESOLUTION <br />REGARDING RATIFICATION OF ADMITTANCE OF <br />THE CITY OF INDEPENDENCE INTO THE <br />LAKE MINNETONKA COMMUNICATIONS COMMISSION <br />WHEREAS, The Lake Minnetonka Communications Commission (“Commission”) is <br />organized pursuant to a Joint Powers Agreement (“Agreement”) by and between the Cities of <br />Deephaven, Excelsior, Greenwood, Long Lake, Medina, Minnetonka Beach, Minnetrista, Orono, <br />St. Bonifacius, Shorewood, Spring Park, Tonka Bay, Victoria, and Woodland ( Member Cities ), <br />adopted in accordance with Minn. Stat. § 238.08 and § 471.59; and <br />WHEREAS, the Commission is authorized pursuant to the Agreement to grant, and has <br />granted, a cable franchise to operate, construct, and maintain a cable television system within the <br />Member Cities of the Commission, and administer and enforce such franchise on behalf of the <br />Member Cities; and <br />WHEREAS, Triax Midwest Associates, L.P. (“Triax”) is the current franchisee pursuant <br />to the franchise granted by the Commission, and provides service to the Member Cities of the <br />Commission; and <br />WHEREAS, the City of Independence (“City ”) has indicated a desire that cable <br />communications service be made available to residences within the City , and <br />WHEREAS, Triax currently provides cable communications service to certain residents <br />in the City; and <br />WHEREAS, by Resolution dated August 19, 1997, the Commission invited the City to <br />enter the Commission; and <br />WHEREAS, by Resolution dated October 14, 1997, the City has approved entrance into <br />the Commission upon the terms and conditions of the Agreement and the franchise granted by the <br />Commission; and <br />WHEREAS, the Agreement, Article IV, Section 4, provides that the Commission may <br />admit new members by an affirmative vote of two-thirds (2/3) of the eligible votes of the <br />Commission and may, by resolution, unpose conditions upon the admission of additional <br />members; and <br />WHEREAS, the Commission has determined that it is in the best interests of the <br />Commission and its Member Cities that the City be admitted into the Commission. <br />4 <br />- ir'TTiTi'ii TTlifitii II ii*t<iriBiiiiifiam ~fifiiiii• • iTi in —titt t nfirni -- —-------------------ffcMlWlH IHll I
