9. Indemnity. Minnetonka will indemnify and defend each of <br />the Cities against all claims arising out of Minnetonka's <br />performance of the services specified in paragraph 2 above. <br />10. Insurance. Minnetonka will obtain professional liability <br />insurance to cover each of the Minnetonka employees providing the <br />services under this agreement. <br />11- Amendment. This agreement may be amended only in writing <br />signed by all of the parties. <br />12. Notices.
