In the event that a Contract City terminates this agreement, <br />the Contract City agrees to pay to the City of Orono any of <br />the extraordinarv costs incurred by or within the Police <br />Department of the City of Orono on account of such termination <br />unless the termination is for cause. The extraordinary costs <br />include but are not limited to unemployment benefits paid <br />because of the need to lay off existing police department <br />person-el and severance pay as required by union contract. <br />Termination for cause is defined as a material breach of the <br />contract directly related to the provision of police services^ <br />The Contract City will provide a written notice of the alleged <br />material breach to the Orono City Administrator identifying <br />the specific breach, and providing a reasonable time for the <br />City to cure the breach. If the breach is not cured in a <br />timely manner, the termination process will proceed. <br />The determination of whether the reason for the termination is <br />a material breach will be made upon mutual agreement by the <br />parties to this agreement. If the parties are unable to reach <br />agreement, the matter will be submitted to arbitration in the <br />manner provided by paragraph 17 of this agreement. <br />No termination costs shall be imposed unless and until <br />authorized representatives of the parties hereto have met and <br />such termination costs have been mutually agreed upon. In the <br />event the parties are unable to reach agreement, the matter <br />shall be submitted to arbitration as provided in paragraph 17 <br />of this agreement. <br />This agreement may be terminated either by the method <br />indicated in paragraph 1 of Section Ha, or by mutual agreemen <br />of all Contract Cities.
