for operation, nufotenance. or repair of Project 85^7 or the retained portions of Interceptor 6- <br />OR-641. The property interests to be transferred are described in Exhibit C attached hereto. <br />There are no property interests conveyed in connection with the portions of Project 85-67 <br />trsuisferrcd to the Municipality pursuant to this Agreement. <br />The Council does not warrant or guarantee that the property rights to be conveyed (as <br />described in Exhibit C) cover all of the property under which the sewer lines to be conveyed by <br />this Agreement are located. <br />It is the intent of the panics that ownership of the property interests described in Exhibit C <br />was effectively transferred to the Municipality on or about June 1, 1990. The instruments of <br />conveyance are intended to formalize this earlier i»‘ansfer of interest <br />SECTION 5. MUNICIPALITY’S OBLIGATIONS <br />In consideration of the Council transferring to the Municipality those portions of <br />Interceptor 6-OR-641 described in Exhibit K those portions of Project 85-67 described in Exhibit <br />B. and the property interests described in Exhibit C. the Municipality agrees as follows: <br />A. indemnification . The Municipality will indemnify and hold harmless the Council, <br />its employees, contractors and agents from and against all claims, expenses, damages, or losses <br />(including but not limited to attorney ’s fees) arising out of or resulting from the operation, <br />maintenance, or repair of the reconveyed portions of Interceptor 6-OR-641 described in Exhibit <br />A, the reconveyed portions of Project 85-67 described in Exhibit B, and the property interests <br />described in Exhibit C, which arose or shall arise on or after June 1, 1990. <br />B. Payment. The Municipality will pay to the Council the sum of $70,000 in 20 <br />annual payments ot Sa,500 payable as follows. <br />-4 -
