The Council will transfer to the Municipality, by Bill of Sale, all of its right, title, and <br />interest in and to those portions oflntcrce^nor 6-OR-641 described in Exhibit A attached hereto <br />The Council will also transfer to the municipality, by Bill of Sale, all of its right, title, and interest <br />in and to those portions of Project 85-67 described in Exhibit B attached hereto. <br />It is the intent of the parties to this agreement that ownership of those portions of <br />Interceptor 6-OR-641 described in Exhibit A, and those portions of Project 85-67 described in <br />Exhibit B, were effectively transferred to the Municipality on or about June 1, 1990. The Bill of <br />Sale is intended to formalize this earlier transfer of interest. <br />Those portions of Interceptor 6-OR-641 described in Exhibit A, and portions of Project <br />85-67 described in Exhibit B, are conveyed by the Council in "as is" condition, i.e., the condition <br />the interceptor was in on or about June 1, 1990. The Municipality agrees to accept those portions <br />of the interceptor in such "as is" condition. It is the intent of the parlies that all costs for <br />operation, maintenance and repairs to the ponions of Interceptor 6-OR-641 described in Exhibit <br />A, and the ponions of Project 85-67 described in Exhibit B, commenced to be the responsibility <br />of the Municipality on or about June 1, 1990 and shall continue to be the responsibility of the <br />Municipality hereinafter. <br />SECTION 4. TRANSFER OF PROPERTY RIGHTS. <br />The Council shall also transfer to the Municipality by quit claim deed those easements and <br />other property rights related to the portions of Interceptor 6-OR-641 described in Exhibit A <br />which it owns and (a) which are necessary for the operation, maintenance and repair of the <br />reconveyed portions of Interceptor 6-OR-641 and (b) which are no longer needed by the Council <br />-3 -
