HECONVEYANCE AGREEMENT <br />TfflS AGREE^^ENT is made and entered into by and between the Metropolitan Council <br />(hereinafter referred to as the "Council") and the City of Orono (hereinafter referred to as the <br />'Municipality"), each acting by and through its duly authorized officers. <br />SECTION 1. RECITALS <br />A. The Metropolitan Council is the successor entity to all the property and interests of the <br />former Metropolitan Waste Control Commission (hereinafter referred to as the MWCC ). <br />B. In 1976 and 1977, the MWCC purchased a sanitary sewer line, along with certain <br />lift stations, appurtenant structures, and property’ rights, from the Municipality for use as a <br />metropolitan interceptor. That interceptor was designated Interceptor 6-OR-641 and is <br />hereinafter referred to bv that number. <br />C. During the years 1987 through 1990 the MWCC constructed a panial replacement <br />facility for Interceptor 6-OR-641. The replacement facility is designated as Project 85-67 and is <br />hereinafter referred to by that number. The new facility was substantially completed and <br />operational on or about June 1, 1990. <br />Prior to construction of Project 85-67 the MWCC and the Municipality reached an <br />informal arrangement regarding the Municipality's assistance in constructing Project 85-67 and the <br />reconveyance of portions of Interceptor 6-OR-641. This arrangement was never formalized. <br />E. Upon completion of Project 85-67, portions of Interceptor 6-OR-641 continued in <br />use by the MWCC as metropolitan interceptor and portions were abandoned because they had no <br />further use to either the MWCC or the Municipality. The remaining portions of Interceptor 6- <br />OR-641 no longer are required for metropolitan interceptor purposes but retain a use as local <br />JJ
