- 5 - <br />attendance, action may be taken by the Authority upon a vote of a majority of the <br />Commissioners present. <br />Section 5. Order of Business. At the regular meetings of the Authority the following <br />shall be the order of business: <br />1. Roll Call <br />2. Reading and approval of the minutes of the previous meeting <br />3. Bills and communication <br />4. Report of the Secretary/Executive Director <br />5. Reports of Committees <br />6. Unfinished business <br />7. New business <br />8. Adjournment <br />All resolutions shall be in writing and shall be copied in the journal of the proceedings of <br />the Authority. <br />Section 6. Manner of Voting. The voting on all questions coming before the Authority <br />shall be by roll call, and the yeas and nays shall be entered upon the minutes of such meeting. <br />ARTICLE V – INDEMNIFICATION <br />Section 1. Indemnification. The HRA shall be authorized to the fullest extent permitted <br />by law to indemnify any person against expenses and liabilities arising by reason of the fact that <br />the person is or was a Commissioner, officer, employee, or agent of the HRA. <br />Section 2. Insurance. The HRA may purchase and maintain insurance ‘on behalf of any <br />indemnified person in that person’s official capacity against any liability asserted against that <br />person and incurred by that person in such capacity whether or not the HRA would have been <br />required to indemnify the person against the liability under Section 1 hereof.
