ARTICLE I. <br />nnriNn IONS. nxiiimTs, rules oi- interpretation <br />Section 1.1 Definitions. In this Agreement, the following terms have the <br />following respective meanings unless the context hereof clearly requires otherwise <br />(a) Acts. MinnesotaStatutes, Sections 469.001 through 469.047 and <br />469.174 through 469.179. <br />(b) Certificate of Completion. The certificate of completion set forth in <br />Exhibit D hereto. <br />(c) City, nie City of Orono, 1 Icnnepin County, Minnesota. <br />(d) Completion Year. The earlier of (I) the year 2002 and (2) the year (if <br />any) in which the C'ertilicate of Completii'n for the ImproNcments is • .sued. <br />(e) Pe\ eloper. Orono Senior Housing, Ll.C. a Minnesota limited liability <br />company, its successors and assigns. <br />(0 Development. Die Development Property and the Improv ements to be <br />constructed thereon by the Developer in accordance with the terms of this Agreement, <br />as they may at any time exist. <br />(g) Development Property. The real property w hich is the site of the <br />Improvements, a!i legally described in E.xhibit A hereto. <br />(h) Event of Default. An Event of Default, as defined in Section 7.1. <br />(i) Financing DocunH?nts. The Multifamily Se. ior Housing Rev enue Bonds <br />(Orono Woods Project). Series 2001A and the Taxable Multifamily Senior Housing <br />Revenue Bonds. Series 200 IB to be issued pursuant to Section 3.1 hereof and the <br />Financing Documents. <br />(l) Housing Plan, llic development program for the HR/\’s Housing <br />Project Area No. I. which contains the TIF District. <br />(in) HRA. The Orono 1 lousing and Redevelopment Authority, and any <br />successor to its functions.
