ARTICLE I. <br />DEFINITIONS. EXHIBITS. RITI ES OF INTERPRETATION <br />Section 1.1 Definitions. In this Agreement, the following tenr.s have the <br />following respective meanings unless the context hereof clearly requires othenvise: <br />(a) .Acts. Minnesota Statutes, Sections 469.001 through 469.047 and <br />469.174 through 469.179. <br />(b) <br />Exhibit D hereto. <br />). lltc certificate of completion set forth in <br />(c) City. The City of Orono, I lennepin County, Minnesota. <br />(d) Completion Year. The earlier of (I) the year 2002 and (2) the year (if <br />any) in which tlie Certificate of Completion for tlic Impro\ cments is • .sued. <br />(e) De\cU>per. Orono Seni«ir Mousing, I.I.C, a Minnesota limited liability <br />company, its successors and assigns. <br />(0 Deselopment. The Development Property and the Improvements to be <br />constructed thereon by the Developer in accordance w ith the terms of this Agreement, <br />as they may at any time exist. <br />(g) Develonment Property. The real property which is the site of the <br />Improvements, os legally described in E.xhibit A hereto. <br />(h) Event of Default. An Event of Default, os defined in Section 7.1. <br />(i) l inancing PocunKMits. Ilie following diKuments to be c.xecuted and <br />delivered in connection w ith the issuance and sale of the Housing Uonds and the <br />Subordinate Housing Note: ________________________________________. <br />(j) Ground Lease. The Ground Lease atl.uhcd as Exhibit B hereto, as the <br />same may be amended from time to time. <br />(k) I lousing Bonds. The Multifamily Se..ior Housing Revenue Bonds <br />(Orono Woods Project), Scries 2001 .A and the l axable Multifamily Senior Housing <br />Revenue Bonds, Series 2001B to be issued pursuant to Section 3.1 hereof and the <br />Financing Documerts. <br />(l) Housing Plan. The development program for the I IRA’s 1 lousing <br />Project Area No. I, which contains the flF District. <br />(m) HRA. The Orono Housing and Redevelopment Authority, and any <br />successor to its functions.
