hf <br />intended to recognize the existing practice under which new positions are authorized by the <br />Board, but thereafter, the Executive Director establishes and implements the terms and <br />conditions of employment for League employees. <br />Regarding the “League’s official publication," the Board felt it was important to give the <br />Board the utmost latitude to determine which publication method best conveys League <br />information on any particular subject. <br />Other Changes: The section bn affiliate organizations has been moved to the new <br />“Miscellaneous" Article. <br />Rationale:The affiliate section seemed better placed in the miscellaneous Article. <br />Article VI Finance <br />Change-Generally: A specific “Finances ” Article has been created, where a number of the <br />existing finance provisions have been placed. Currently, the provisions are scattered in <br />various provisions throughout the Constitution. <br />Rationale: <br />League finances. <br />This aggregates in one place the Constitutional provisions dealing with <br />Change-Section 3: The section is modified to clarify that an annual audit is mandatory and <br />that the audit must be provided to the Board for review and acceptance. <br />Rationale: Sound financial management practices suggest making this current <br />policy mandatory. <br />Change-Section 4: Reference to a formal “Budget Committee” made up of “two city <br />officials from each congressional district" has been replaced it with a Board appointed <br />“Finance Committee ” <br />Rationale: The Board wanted to atTord itself the flexibility to constitute a more <br />active committee to assist in working with the auditor, and monitoring, evaluating and making <br />recommendations concerning League finances. While the work of the Budget Committee has <br />been valuable, the Board thought that the stP'cture of the Committee and the fact that it only <br />meets once a year, does not lend itself to providing the type of support that the Board is <br />looking for in this important League function <br />Article VII Membership Meetings <br />Change-Generally: Reference to specific types of membership meetings other than the <br />Annual Conference, has been eliminated. <br />Rationale: The new provision allows the Board greater flexibility to hold meetings <br />as it sees necessary. It was thought that it might be better to not be confined to a specific type <br />of League Membership meeting. <br />i
