The Board would be given explicit authority to call special business meetings in <br />conjunction with a statewide meeting of the membership. This change allows the <br />Board greater latitude to call a meeting of the members when formal member input <br />may be needed on a particular issue. <br />What are the specific changes being proposed? <br />Name of Document <br />Change: The name of the document has been changed from Xonstitution" to <br />“Constitution and Bylaws." <br />Rationale: The addition of the term “Bylaws" is intended to reflect the fact that the <br />document includes provisions that are more typically found in organization bylaws. (E.g., <br />meeting procedures, quorum and voting requirements, etc.) <br />Article 1 Name <br />Change: The only change here is to create a separate Article for the name of the <br />organization. Previously, Article 1 included both the Name and the Purpose of the <br />organization. We have now made “Purpose" a separate Article II. <br />Rationale: To conform the existing document to the typical form used with governing <br />documents of other nonprofit entities. <br />Article II Purpose <br />Change-Section I: Minimal wording changes as reflected in the draft. <br />Rationale: The rationale for some of the changes was to simply clean*up some of <br />the wording and try to do a better job of accurately describing what the League is about and <br />what it does. <br />Change-Section 2: We have added specific reference to a regular strategic planning <br />process. <br />Rationale: With the emphasis that the Board and staff have been placed on a <br />regular strategic planning process in recent years, the Board thought it was important to reflect <br />this activity in the Constitution. <br />Article III Membership <br />Change-Section 1: Reference the specific authority of certain defined townships to be <br />League members. <br />Rationale: To clarify and be explicit about which townships are eligible for League <br />membership.
