•'J <br />7. TERM. This Agreement shall continue in effect until December 31. 2007, unless extended, renewed, or <br />terminated by the Participants pursuant to the provisions of paragraph 8 below. <br />8. MODIFICATION. This Agreement may be extended, renewed, terminated or amended by agreement of all <br />Participants as authorized by resolution of each Participant's governing body. <br />9. WITHDRAWAL. A Participant may withdraw prior to the expiration of the term of tliis Agreement or any <br />subsequent extensions thereof by giving 90 days' notice in the form of a resolution of its governing body, served by <br />ccitified mail on the secretary-treasurer of the Commission. Service shall be deemed to have been made on the date <br />of mailing Any grant monies or other funds received by the withdrawing Participant or the Commission, either <br />prior to or after the effective date of withdrawal, that are attributable to the Participant’s participation in the Program <br />prior to its withdrawal, shall be paid to and remain the property of the Commission. <br />10. DISTRIBUTION UPON TERMINATION. Upon expiration of or termination of tliis Agreement, any assets <br />remaining after the payment of outstanding obligations shall be distributed to the Particip.'ints in proportion to their <br />monetaiy contributions calculated over the life of the Agreement. <br />11. ADDITIONAL PARTICIPANTS. The number of Participants may be increased during the term of this <br />Agreement by amendment, pursuant to the provisions of paragraph 8 above, provided that any new Participant shall <br />also cause the Agreement as amended to be executed, pursuant to ainhorizing resolution of its governing btxly. <br />12. EXECUTIVE COMMlTfEE. The Commission is empowered to appoint an Executive Committee consisting <br />of three Commissioners. The Coordinator will be an ex-officio member of the Executive Committee The <br />Executive Committee will meet when directed to and for the express puipose designated by the tlill Commission. <br />Membership on the Executive Committee will rotate among the representatives of the participating communities on <br />an amtual basis, with at least one new Executive Committee member annually <br />IN WITNESS WHEREOF the Cities of Greenfield, Independence, Long Lake, Loretto.
