Mn/DOT Agreement No. 85231 B. Extraordinary maintenance, betterments, construction, or reconstruction will include, but not be limHed to. oveday of bridge surface, milling and overlay bridge surface, replacement of bridge and pond drainage structures and culverts, major bridge structural repairs, and major bridge or pond washout repairs. C. State will retain its authority to administer, issue, and regulate access permits, sign advertising permits, drainage permits, and permits to install new utilities on the bridges, pond, and trail, described in Section I, Paragraph A. III. CONSIDERATION City agrees to perform the duties herein in consideration of State's construction of the City's pond and trail, and bridges carrying City streets over and across the new Trunk Highway 12 alignment as descrS>ed in Section I, Paragraph A. IV. TERM OF AGREEMENT This Agreement will be In effect until superseded by another agreement between State and City. V. AUTHORIZED REPRESENTATIVE A. State's Authorized Representative for the purposes of the administration of this Agreement is Susan Mulvihill, Assistant District Engineer • Maintenance, Minnesota Department of Transportation Metro District, 1SOO West County Road B2, Roseville, Minnesota 55113, (651) 582-1643, or her successor. B. The City's Authorized Representative for the purposes of the administration of this Agreement is Gregory Gappa, Director of Public Services, City of Orono, 2730 Kelley Parkway, Orono, Minnesota 55356, (952) 249-4621, or his successor. C. State's Authorized Representative will have final authority for acceptance of maintenance services performed by City under this Agreement. VI. ASSIGNMENT A. No party will assign or transfer any rights or obligations under this Agreement, in whole or in part, without prior written consent of the other. B. All contracts and agreements made by any party with additional parties for the performance of any work to be done under this Agreement must be made in accordance with the terms of this Agreement and State of Minnesota law. C. This Agreement will not be construed as a relinquishment by Slate of any powers or control it may have over the trunk highway covered under this Agreement.
