by the City Clerk to have been duly adopted by the Common Council and to be in full force <br /> and effect on the date of such certification. <br /> "City" means the City of Orono, a Minnesota municipal corporation, its successors <br /> and assigns. <br /> "City Council" or "Council" means the City Council of the City. or its successor as <br /> governing body of the City. <br /> "Closing Date" means the date of issuance and initial delivery to the Original <br /> Purchaser of the Series 2001 Bonds. <br /> "Code"means the Internal Revenue Code of 1986.as amended from time to time,and <br /> as applicable to any Series of Bonds. <br /> "Collateral" means the Collateral defined in Section 8.08 of the Loan Agreement. <br /> "Completion Date" means the date on which all acquisition, construction and <br /> equipping of the Project is substantially completed, as evidenced pursuant to Section 3.10 <br /> of the Loan Agreement. <br /> "Construction Account"means the account by such name in the Project Fund created <br /> by Section 4.01 of the Indenture. <br /> "Costs of Issuance"means any and all sums of money required to authorize,sell and <br /> issue the Bonds,including,but not limited to,all legal,abstracting,financial and accounting <br /> fees and expenses, underwriters' fees or commissions, printing and engraving costs, fees. <br /> costs and expenses of the City,the initial or acceptance fee and expenses of the Trustee,all <br /> fees and taxes required in connection with recording or filing the Indenture, the Mortgage, <br /> the Subordinate Mortgage, and all financing statements and all other expenses incurred in <br /> connection with the preparation of the Loan Agreement, the Indenture, the Mortgage, the <br /> Subordinate Mortgage, and any other documents, together with any other items of costs <br /> constituting "issuance costs" within the meaning of Section 147 (g) of the Code. <br /> "Costs of Issuance Account" means the account by such name in the Project Fund <br /> created by Section 4.01 of the Indenture. <br /> "Computation Date" means for all Series constituting a single issue under the Code, <br /> except as otherwise provided in the Supplemental Indenture authorizing any Additional <br /> Bonds,the end of the fifth Bond Year,every fifth anniversary thereof,and the date on which <br /> all principal of and interest on the Series are finally paid. <br /> "Continuing Disclosure Agreement" means the Continuing Disclosure Agreement. <br /> dated as of November 1, 2001, between the Trustee and the Borrower. <br />
