"Bond Counsel" means Faegre & Benson LLP, or any other firm of Independent <br /> attorneys nationally recognized as experienced in passing on the validity and tax status of <br /> interest on obligations of state or local governments. <br /> "Bond Fund" means the fund so named in Section 4.01 of the Indenture. <br /> "Bond Resolution"means the resolution of the City adopted by the Common Council <br /> on October 22, 2001, authorizing the Series 2001 Bonds, as the same may be amended, <br /> modified or supplemented by any amendments or modifications thereof <br /> "Bond Year"means for the Series 2001 Bonds, the twelve-month period beginning <br /> on November 1 in any year; provided that the first Bond Year for each Series shall <br /> commence on its Date of Issuance, and for any Series of Additional Bonds, the period so <br /> designated in the Supplemental Indenture for the Additional Bonds. <br /> "Bonds" means any of the Series 2001 Bonds and any Additional Bonds. <br /> "Book-Entry Form" means Bonds of any Series that are held in the name of the <br /> Depository (or its nominee), with each maturity of the Series evidenced by a single Bond <br /> certificate. <br /> "Book-Entry System" means a system of record keeping, securities clearance and <br /> funds transfer and settlement maintained for securities by the Depository and Participants. <br /> "Borrower" means Orono Senior Housing, LLC, a Minnesota limited liability <br /> company, its successors and assigns. <br /> "Budget" means the Budget so named in Section 6.03 of the Loan Agreement. <br /> "Buildings"means buildings,structures and other improvements now standing or at <br /> any time hereafter constructed or placed upon the Land. <br /> "Business Day"means any day other than a Saturday, Sunday or a day on which the <br /> Trustee is not open for business. <br /> "Capital Expenditure" means any costs of a type that is properly chargeable to a <br /> capital account(or would be chargeable with a proper election)under general Federal income <br /> tax principles. <br /> "Certificate"means a certification in writing required or permitted by the provisions <br /> of the Loan Agreement or the Indenture signed and delivered to the Trustee or other proper <br /> person or persons. If and to the extent required by the provisions of Section 1.02 of the <br /> Indenture, each Certificate shall include the statements provided for in such section. <br /> "Certified Resolution"means a copy of a resolution of the Common Council,certified <br />
