ARTICLE VIII <br /> MISCELLANEOUS <br /> Section 8.01 Amounts Remaining in Funds. It is agreed by the parties hereto that any <br /> amounts remaining in any fund or account held by the Trustee under the Indenture after payment of all Bonds <br /> (or provision for payment thereof having been made in accordance with the provisions of the Indenture)and <br /> any additional amounts payable to the City or the Trustee and fees, charges and expenses of any paying <br /> agents and all other amounts required to be paid under the Indenture, shall belong to and be paid to the <br /> Borrower by the Trustee as overpayment of the Loan Repayments. <br /> Section 8.02 Notices. All notices,certificates,requests or other communications hereunder <br /> shall be sufficiently given and shall be deemed given when delivered personally or mailed by first class mail <br /> or mailed by registered mail,return receipt requested,postage prepaid,addressed as follows: <br /> To the City: City of Orono <br /> 2750 Kelley Parkway <br /> Orono,MN 5555356 <br /> Attention: City Finance Director <br /> To the Trustee: U.S.Bank Trust National Association <br /> 180 East Fifth Street,2nd Floor <br /> St. Paul,MN 55101 <br /> Attention: Corporate Trust Department <br /> To the Borrower: Orono Senior Housing,LLC <br /> c/o Wedum Foundation <br /> 3191 Shorewood Drive <br /> Arden Hills, MN 55112 <br /> Attention: President <br /> To the Original Purchaser: Miller Johnson Steichen Kinnard,Inc. <br /> 5500 Wayzata Blvd., Suite 1450 <br /> Minneapolis,MN 55416 <br /> Attention: Public Finance <br /> A duplicate copy of each notice,certificate,request or other communication given hereunder <br /> to the City, the Borrower, the Trustee or the Original Purchaser shall also be given to the others. The <br /> Borrower,the City,the Trustee and the Original Purchaser may,by notice given hereunder, designate any <br /> further or different addresses to which subsequent notices, certificates, requests or other communications <br /> shall be sent. <br /> Any notice,report or other information required hereunder to be given or delivered to the <br /> Trustee or Original Purchasers shall also be given or delivered concurrently to all other Holders. <br /> Section 8.03 Reference to Bonds Ineffective after Bonds Paid. Upon payment in full of the <br /> Bonds (or provision for payment thereof having been made in accordance with the provisions of the <br /> Indenture)and all fees and charges of the Trustee and any paying agents of the Bonds,all references in this <br /> -55- <br />
