DRAFT Comprehensive Fire Service Study MEDINA, MINNESOTA <br /> <br />Matrix Consulting Group Page 102 <br />Parties shall appoint their respective Board members by resolution <br />adopted by their respective governing bodies. Notwithstanding <br />paragraph 5.a. providing that Board members will be appointed for 3 <br />year terms, the appointments to the initial Board, as provided in this <br />paragraph, shall establish staggered terms for the subsequent 3 year <br />appointment of all Board members to the Board by the respective <br />Parties. The initial Board members shall be appointed by the respective <br />Parties, as follows: <br /> <br />i. Northfield’s five (5) Board members: <br />1. 1 Board member shall be appointed for a 1-year term; <br />2. 2 Board members shall be appointed for 2-year terms; and <br />3. 2 Board members shall be appointed for 3-year terms. <br /> <br />ii. Dundas’ one (1) Board member: <br />1. 1 Board member shall be appointed for a 3-year term. <br /> <br />iii. Rural Fire’s two (2) Board members: <br />1. 1 Board member shall be appointed for a 1-year term; and <br />2. 1 Board member shall be appointed for a 3-year term. <br /> <br />c. Chair and Vice Chair. The Board shall elect from its voting Board <br />members a Chair and Vice Chair at its first meeting and annually <br />thereafter at its first meeting of the calendar year. The Chair shall act as <br />the presiding officer at all Board meetings and the Vice -Chair shall so <br />act in the absence of the Chair. <br /> <br />d. Compensation. Board members shall serve without compensation. <br /> <br />e. Meetings. <br /> <br />i. The Board shall hold regular meetings at least once in each <br />month for the first year of its existence with the time and place of <br />the regular meetings of the Board to be determined by the Board. <br />ii. A majority of the Board members shall constitute a quorum at a ny <br />meeting held by the Board for purposes of conducting business. <br />iii. After the first year, the Board will meet at least quarterly in each <br />calendar year as determined by the Board.
