The NAFRS shall provide fire and rescue services as outlined <br />herein in the service area shown in Exhibit C, which is attached hereto and <br />incorporated herein by reference. <br /> <br />5. Governance. A joint powers board (the “Board”) is hereby created for the <br />governance of the Organization and to facilitate the performance of this <br />Agreement throughout its life. Such Board shall have the powers specifically <br />given herein and shall have the power to make recommendations to the <br />Members to improve cooperation and efficiency in carrying out the intent of this <br />Agreement and to make recommendations for amendments and supplements <br />to this Agreement. <br /> <br />a. Board Membership. The Board shall consist of eight (8) Board <br />members (the “Board members”); with five (5) Board members <br />appointed by the Northfield City Council, two (2) Board members <br />appointed by Rural Fire, and one (1) Board member appointed by the <br />Dundas City Council. The City Administrators of Northfield and Dundas, <br />the Administrator/Director of Rural Fire, the Fire Chief, the Northfield <br />Public Safety Director (or Northfield Police Chief if there is no Northfield <br />Public Safety Director) and the Director of Emergency Medical Services <br />for the Northfield Hospital will serve as ex-officio, non-voting members <br />of the Board. Board members will be appointed for 3-year terms. Board <br />members must reside within the area served by the NAFRS. For <br />purposes of this Agreement, Rural Fire shall act as the representative <br />of the township government members hereto on the Board, unless <br />otherwise provided herein, exercising all powers and duties and such <br />governmental approvals as are required in this Agreement on behalf of <br />the township government members. <br /> <br />No employee, full or part-time, of NAFRS shall serve as a member of the <br />Board. <br /> <br />b. Initial Board Members. Prior to the Effective Date stated herein, the
