The Property was sold to Plaintiffs per the terms of the Purchase <br /> Agreement, and the sale closed on April 10, 2013. <br /> Subdivision Application Process and Creation of Conservation Easement <br /> 28. Stephenson and WPLLC decided to seek Orono's approval to subdivide <br /> 4550 Wolverton Place into two adjacent, five-acre lots and sell only one of the lots, the <br /> lot that constitutes the Property, to Plaintiffs. <br /> 29. On information and belief, subdivision approval was sought, in part, to <br /> maximize the profits of Stephenson and WPLLC. <br /> 30. Gherardi acted on behalf of WPLLC throughout the subdivision application <br /> process with Orono, including attending and speaking at public hearings and submitting, <br /> signing, and creating or causing the creation of necessary documents related to the <br /> application process. <br /> 31. On behalf of WPLLC, Gherardi submitted an application requesting <br /> subdivision approval to Orono in October 2011. <br /> 32. The initial hearing between Gherardi (appearing on behalf of WPLLC) and <br /> the Orono Planning Commission to discuss WPLLC's plan to subdivide the Property was <br /> conducted on November 21, 2011, at which time the Orono Planning Commission <br /> requested that, pursuant to Orono City Code § 78-1634 et seq., a conservation design plan <br /> be developed and submitted to Orono "to be reviewed and implemented prior to final <br /> consideration of the subdivision by the Planning Commission." <br /> 6 <br />
