AGREEMENT THIS AGREEMENT, made and entered into by and between the CITY OF ORONO, a Minnesota municipal corporation ("Cite"), and CARMAN BAY LAKE IMPROVEMENT DISTRICT, a political subdivision of the State of Minnesota. ("District"). NOW, THEREFORE, IN CONSIDERATION of the mutual covenants and agreements as set forth herein, both parties hereby- acknowledge the sufficiency- thereof: the City and District agree as follows: I. INSURANCE. City will add District as a covered party to all insurance palic:ies held by the City with the League of Minnesota Cities Insurance Trust. z. COSTS. The District shall be responsible for paying any and all costs associated with its use of the insurance coverages noted above, including, but not limited to. the payment of all deductibles and co -pays for claims against the District and any and all costs above and beyond the insurance coverage limits. 3. LIABILITY. Nothing in this Agreement shall be interpreted to impose any duty or Iiability unto the City for claims made against the District. The District shall indemnify and hold harmless the City, its officers, agents. and employees. of and from any and all claims, demands. actions. causes of action, including, costs and attorney's fees, arising out of or by reason of the District's execution or performance of its rights. powers. and duties, and further agrees to defend at its sole cost and expense any action or proceeding commended for the purpose of asserting any claim of whatsoever character arising therefrom. 4. ENTIRE AGREEMENT. This Agreement constitutes the entire agreements between the parties with respect to insurance coverage and the parties agree that there were no inducements or representations leading to the execution of this Agreement except as contained herein.
