SCHC'S COMPANY PROFILE <br /> Strategic Capital Holding Company, L.L.c. ("SCHC") is a Minnesota <br /> based limited liability company established in March 1996 by Gary R. <br /> Vibbard (the "Sponsor") to enable companies in the oil and gas and <br /> general industrial manufacturing industries to achieve their strategic <br /> plans by providing financial, operational and strategic management <br /> consulting, and investment banking services. <br /> SCHC's main purpose is to finance and provide advice to <br /> companies that are being positioned for high-growth. These clients' high <br /> growth positioning may be due to: industry dynamics, because they <br /> require strategic and operational refocusing, because they are being <br /> acquired in a management buy-out, or because they have a desire to <br /> grow through an acquisition and consolidation strategy. <br /> 'I�pical clients are those with the ability to grow to in excess of <br /> $100 million of market value in a �ve to fifteen year period while not <br /> dominating the market share within their respective industry. Market <br /> value is measured by a low-end cash flow multiple after setting aside <br /> funds required for maintenance capital expenditures. <br /> Consistent with SCHC's strategy is its approach to fees. SCHC <br /> believes in working in concert with clients as they grow. To that end, a <br /> significant portion of SCHC's compensation is in the form of stock, <br /> options or other equity instruments. <br /> A major element of SCHC's business strategy is to keep overhead <br /> low, yet maintain superior quality service, analytical support and access <br /> to transactions and capital. As an example, the Sponsor has established <br /> relationships with a group of joint venture partners. <br /> This group includes former chief executive officers, chief financial <br /> officers, and chief operating officers from the Fortune 1000, investment <br /> bankers, lawyers and accountants.
