44, CERTIFICATE AS TO § 501(c)(3) STATUS I, the undersigned, being a duly qualified and acting officer of Wedum Foundation, a Minnesota nonprofit corporation (the "Sponsor"), hereby certify, as follows: 1. Attached hereto is a true and correct copy of a letter issued by the Internal Revenue Service(the "IRS")to the Sponsor, dated November 4, 1997 recognizing the Sponsor to be an organization described in Section 501(c)(3) of the Internal Revenue Code (the "Code"), and I further certify that said Section 501(c)(3) status has not been modified, rescinded or revoked, but is, as of the date hereof, in full force and effect. 2. The Sponsor has not been notified by the IRS that the IRS has taken, is taking, or intends to take steps to modify, rescind, or revoke the status of the Sponsor as an organization described in Section 501(c)(3). 3. No substantial part of the Sponsor's activities consists of attempting to influence legislation, within the meaning of Section 501(c)(3) of the Code. 4. The Sponsor has never participated or intervened in any political campaign on behalf of or in opposition to a candidate for public office,within the meaning of Section 501(c)(3) of the Code. 5. The Sponsor does not currently conduct, and has not within the past four years conducted, any activity that is an unrelated trade or business within the meaning of Section 513 of the Code. 6. The Sponsor has not participated in any transaction or arrangement that resulted in inurement of the net earnings of the Sponsor,within the meaning of Section 501(c)(3)of the Code, to the benefit of a person other than another Section 501(c)(3) organization. 7. The Sponsor has not engaged in any illegal activity that could provide the basis for the revocation of the Sponsor's status as an organization described in Section 501(c)(3) of the Code. 8. The undersigned has no knowledge of circumstances that he believes would provide the basis for any change in the Sponsor's status as an organization described in Section 501(c)(3) of the Code.
